By accessing or using Tessera (“Service”), you agree to be bound by these Terms and Conditions (“Terms”). If you disagree with any part of these terms, you may not access the Service.

1. Description of Service

Tessera is an automation-first, AI-assisted platform for analyzing source code repositories and generating and maintaining technical documentation. Our Service provides code analysis, documentation generation, and development tools powered by artificial intelligence.

2. User Accounts

2.1 Account Creation

To use certain features of the Service, you must create an account through our authentication provider, Clerk. You agree to provide accurate, current, and complete information during the registration process.

2.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

2.3 GitHub Integration

By connecting your GitHub account to Tessera, you authorize us to access your repositories and related data as necessary to provide the Service. You are responsible for ensuring you have the necessary rights and permissions for any repositories you connect.

2.4 Eligibility and Authority

You represent and warrant that you have the legal authority to create an account, connect repositories, and grant Tessera access to any content or repositories you authorize.

3. Acceptable Use

You agree not to:

  • Use the Service for any illegal purpose or in violation of any laws
  • Violate or infringe upon the rights of others, including intellectual property rights
  • Upload or transmit malicious code, viruses, or any harmful content
  • Attempt to gain unauthorized access to the Service or related systems
  • Interfere with or disrupt the Service or servers
  • Use automated systems to access the Service without our permission
  • Reverse engineer, decompile, or disassemble any part of the Service
  • Remove or modify any proprietary notices or labels

4. Intellectual Property

4.1 Your Content

You retain all rights to your code, repositories, and content (“Your Content”). By using the Service, you grant us a limited license to access, process, and analyze Your Content solely to provide the Service to you.

4.2 Generated Content

Documentation and other content generated by our AI models based on Your Content remains your property. However, we reserve the right to use aggregated, anonymized data to improve our Service.

4.3 Our Service

The Service, including its original content, features, and functionality, is owned by Tessera and is protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

5. AI-Generated Content

Our Service uses AI models (powered by third-party AI models) to generate documentation and insights. While we strive for accuracy, AI-generated content may contain errors or inaccuracies. You are responsible for reviewing and verifying all AI-generated content before use.

6. Third-Party Services

Our Service integrates with third-party services including GitHub, Clerk, xAI, Anthropic and Google Analytics. Your use of these services is subject to their respective terms and conditions. We are not responsible for the actions or policies of these third-party services.

7. Subscription and Payment

7.1 Free Trial

We may offer a free trial period. At the end of the trial period, you will be charged the applicable subscription fee unless you cancel before the trial ends.

7.2 Billing

Subscription fees are billed in advance on a recurring basis (monthly or annually). You authorize us to charge your payment method for all fees incurred.

7.3 Cancellation

You may cancel your subscription at any time. Cancellation will take effect at the end of your current billing period. No refunds will be provided for partial periods.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TESSERA SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES RESULTING FROM:

  • Your use or inability to use the Service
  • Any unauthorized access to or use of our servers and/or any personal information stored therein
  • Any interruption or cessation of transmission to or from the Service
  • Any bugs, viruses, or other harmful code transmitted through the Service
  • Any errors or omissions in any content or for any loss or damage incurred as a result of the use of any content posted, emailed, transmitted, or otherwise made available through the Service

10. Indemnification

You agree to indemnify, defend, and hold harmless Tessera and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses, including reasonable attorneys’ fees, arising out of or in any way connected with your access to or use of the Service or your violation of these Terms.

11. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Service will immediately cease.

12. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of significant changes by posting the new Terms on this page and updating the “Last updated” date. Your continued use of the Service after such changes constitutes acceptance of the new Terms.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Tessera operates, without regard to its conflict of law provisions.

14. Dispute Resolution

To the extent permitted by law, any disputes arising out of or relating to these Terms or the Service shall be resolved through binding arbitration.
